1. Introductory provisions

1.1. These Terms of Cooperation (the "Terms") govern the relationship between HOTHESS s.r.o. (the "Contractor") and any natural or legal person ordering design proposals, the production of vehicle wraps and the installation of wraps on a race car (the "Client").

1.2. The Terms form an integral part of every order, and by confirming an order (in writing, by e-mail or through a communication platform) the Client agrees to their content in full.

1.3. All communication conducted by e-mail or via social networks (Messenger, WhatsApp, Viber and similar platforms) is considered binding written communication.

1.4. A business day means Monday to Friday, excluding public holidays in the Czech Republic.

2. Subject of cooperation

The Contractor provides the Client with the following services:

A) Design proposal + wrap data

A complete race car design proposal, 3D visualisation and preparation of print data / production files for the wrap. The Client arranges wrap production and installation on their own with an external wrapper.

B) Design proposal + wrap production

A design proposal and the wrap production itself (film cutting / printing). The finished wrap is shipped to the Client, who arranges installation on their own.

C) Design proposal + wrap production + installation

A complete service — the Contractor provides the design proposal, wrap production and its installation on the Client's car.

3. Design types

3.1. printed design — from CZK 9,600 excl. VAT

A design created for printing on self-adhesive film. Suitable for:

  • more complex graphic elements, patterns and colour gradients,
  • full-coverage designs and photographic elements,
  • designs with a large number of colours.

Limitation: Due to the production technology, chrome, metallic and fluorescent colours cannot be printed.

3.2. cut design — from CZK 8,000 excl. VAT

A cheaper and simpler option. The design is cut on a plotter and applied to the car piece by piece.

Advantages: No colour limitations — a wide range of films in various colours is available, including metallic, chrome and reflective.

Limitation: Due to the technology, complex graphic elements, patterns, colour gradients, shadows and photographic elements cannot be created.

3.3. Combination of printed and cut design

For more complex projects, both design types can be combined. The price is then set individually.

4. Scope of the proposal

The price of the design proposal includes:

  • Creation of all partial graphics and preparation of the supplied source materials.
  • An initial sketch (a rough concept indicating the direction the final proposal will take). No sketch fee is charged if the project is subsequently realised.
  • One complete proposal based on the approved concept, with the option of two sets of revisions. For each further set of revisions beyond the two included, the Contractor charges CZK 500 excl. VAT (EUR 20 excl. VAT), unless agreed otherwise.
  • 3D visualisation of the final version of the design
  • Preparation of print data or data for wrap production.

5. Pricing terms

5.1. Design price

The design price is set individually based on:

  • the type of car and its dimensions,
  • the chosen design type (printed, cut, combined),
  • the complexity of the graphic proposal,
  • the number of 3D visualisation views,
  • the extent of revisions beyond the included ones.

Minimum prices by design type:

  • Printed design: from CZK 9,600 excl. VAT
  • Cut design: from CZK 8,000 excl. VAT

5.2. Price of wrap production and installation

The price of wrap production (film printing / cutting) and installation is set individually and is based on:

  • the type and dimensions of the car,
  • the complexity of the design and the number of parts,
  • the chosen type and quality of film (cast / calendered, metallic, reflective, chrome),
  • the extent of the area to be wrapped (partial / full),
  • the need to prepare the car's surface.

The Client will receive a specific price quotation before work begins.

5.3. Sketch fee and first concept

No sketch fee is charged — the first concept (rough sketch) is free of charge. The Client pays only for the final realised proposal (3D visualisation + print data for the wrap).

5.4. Work data — complete 1:1 data for printing and application

For Clients who arrange both printing and application on their own and require complete, finished 1:1 data (without the wrapper having to do their own preparation), the Contractor offers the Work Data service:

  • A 1:1 file ready for printing and application.
  • Price from CZK 4,000 excl. VAT (EUR 166 excl. VAT), set individually depending on complexity.

5.5. Payment terms

  • New clients: 100% advance payment before work begins for the first two orders.
  • Regular clients with a positive payment history: invoicing with a one-week due date.
  • Larger orders: payment may be split into a deposit (e.g. 50%) and the balance after completion.

5.6. Order cancellation

5.6.1. Cancellation while the proposal is being prepared: The Client pays only for work actually performed at an hourly rate of CZK 1,200 excl. VAT / hour (EUR 50 excl. VAT / hour). In this case, no data or outputs are handed over to the Client.

5.6.2. Cancellation after written approval of the proposal but before wrap production: The Client pays the full price of the design pursuant to Art. 5.1.

5.6.3. Cancellation after wrap production has started: The Client pays the price of the design + the parts of the wrap already produced (film, printing) in full + administrative and DTP work connected with production at the hourly rate.

5.6.4. Cancellation during wrap installation: The Client pays the price of the design + the wrap produced + the installation already carried out in full.

5.7. Common pricing provisions

5.7.1. All prices are stated excluding 21% VAT, unless stated otherwise.

5.7.2. Prices in EUR are indicative. The binding price is always in CZK. When invoicing in EUR, the current CNB exchange rate on the invoice date applies.

5.7.3. Contractual penalty for late payment: If the Client is late in paying an invoice, the Contractor is entitled to claim a contractual penalty of 0.05% of the amount due for each commenced day of delay. This does not affect the right to statutory default interest.

5.7.4. Withholding delivery in case of non-payment: If the Client is late with payment, the Contractor is entitled to withhold delivery of the order or its installation until full payment, without being in delay with its own deadlines.

6. Course of cooperation

6.1. Brief: The Client sends the Contractor all source materials — photographs of the car, requested colours, sponsor logos, concept ideas and other relevant materials in vector formats (PDF, Ai, EPS, CDR, TIFF).

6.2. Car blueprint: The Client is responsible for providing the exact dimensions of the car or a blueprint. If no blueprint is available, the Contractor may work from general model dimensions — in that case, however, 100% accuracy of overlaps cannot be guaranteed (see Art. 8.3).

6.3. Delivery of materials by the Client: If the Client does not deliver complete materials within 30 days of the request, the Contractor is entitled to cancel the order. The Contractor is not in delay with delivery deadlines for as long as it is waiting for materials or cooperation from the Client.

6.4. Concept and final proposal: The Contractor prepares an initial concept (sketch) and, once the Client approves it, proceeds with the final proposal including 3D visualisation.

6.5. Revisions: Two sets of revisions are included in the price. A revision set is defined as all comments sent by the Client at once in a single message. For each further set of revisions, the Contractor charges CZK 500 excl. VAT.

6.6. Final approval: The Client approves the final version in writing — by e-mail or by a message on a communication platform.

6.7. Client inactivity: If the Client does not respond to communication from the Contractor for 30 days (does not approve the proposal, does not deliver further materials), the order is considered forfeited. The Contractor is then entitled to payment for the work performed pursuant to Art. 5.6.1.

7. Copyright and licence

7.1. All graphic proposals and solutions created by the Contractor are the intellectual property of HOTHESS s.r.o. and are subject to Act No. 121/2000 Coll., the Copyright Act.

7.2. Until the invoice is paid in full, the Contractor remains the exclusive owner of the graphic proposal with all copyrights.

7.3. After the invoice is paid in full, the Client obtains a non-exclusive licence under the following conditions:

  • Scope of use: the licence applies exclusively to the specific race car for which the design was created (identified by type).
  • Duration of use: the licence is unlimited in time — the Client may use the design on that car for the entire period of its existence (1 race, 1 season, several seasons).
  • No copying: the Client may not copy or replicate the design or apply it to another car (for example a new car after a crash, a new car after moving up to a higher class, a sister team, etc.).
  • No distribution: the Client may not pass source data or derived files to third parties without the Contractor's prior written consent.
  • No commercial use: the Client may not sell the design (or parts of it), license it to other parties, or use it on any product other than the race car for which the design was created (e.g. merchandise, toys, promotional items).

7.4. On a change of car ownership (sale of a team, transfer of a driver), the new owner may continue to use the design on that car provided all invoices have been paid and the Client informs the Contractor. The licence is not automatically transferable — it requires a written update.

7.5. Portfolio: The Contractor is entitled to use the graphic proposals created and photographs of completed orders (cars with wraps) for its own marketing purposes (portfolio, websites, social networks, Instagram, presentations). The Client may ask for a specific work not to be published — typically where the design has not yet been officially presented to the public.

7.6. Data archiving: The Contractor archives source data of orders for 2 years after completion of the order. After this period, the data may be deleted without prior notice to the Client.

8. Responsibility for data, wrap and installation

8.1. Preparation of data for application

The price of the proposal includes preparation of print data / data for wrap production — the design on the car blueprint at 1:1 scale with sufficient overlaps for application.

8.2. If application is carried out by hothess s.r.o.

The Contractor is responsible for the correctness of the data, sufficient overlaps and the quality of the wrap applied (subject to the points stated in Art. 9).

8.3. If application is carried out by an external wrapper (a person other than hothess)

Where the wrap is not applied by the Contractor, responsibility for checking the data and applying it passes to the person responsible for the wrap (wrapper / external supplier).

The person responsible for the wrap is obliged, before application begins, to:

  • check the data supplied and its overlaps,
  • verify the actual dimensions of the car against the blueprint (any discrepancies to be resolved with the Contractor BEFORE printing),
  • print a colour sample on their own printer to have the colours approved by the client (strongly recommended especially for full-coverage designs),
  • choose a suitable type of film for the purpose (cast / calendered / metallic / reflective).

In such a case the Contractor is not responsible for:

  • DTP processes on the external wrapper's side,
  • the colour accuracy of the resulting print (every printer has a different colour profile),
  • insufficient overlaps where the wrapper did not follow the recommendations or uses an unconventional application method,
  • the quality of application and the lifespan of films applied by an external person,
  • damage caused by incorrect application.

The Contractor is fully available to resolve any problems with the data — the wrapper can contact us at any time.

9. Colour deviations and technological limitations

9.1. General deviations

The Contractor is not responsible for technological colour deviations arising from:

  • different display on monitors (RGB vs. CMYK),
  • the printing technology and the type of RIP software used,
  • the type of film used (gloss / matte / satin / cast / calendered),
  • the printer's ink set and material profiling,
  • the production process (lamination, cutting).

9.2. Recommended colour format

To minimise deviations, the Client supplies colours in CMYK format. Even when this requirement is met, the resulting colours may differ slightly from the preview on a monitor.

9.3. Technological limitations of printed design (printing on film)

Printed design does not allow reproduction of chrome, metallic and fluorescent colours. If such a colour is required, we recommend:

  • combining it with a cut design (chrome / metallic film applied separately),
  • or replacing it with the closest possible CMYK shade (without the metallic / fluorescent effect).

9.4. Pantone colour libraries over time

Over the years, Pantone colour libraries have been gradually updated (a move from the older "Pantone Solid Coated" to the newer "Pantone+ Solid Coated V1–V5"). For some shades, especially metallic colours, this has changed the way they are digitally interpreted, their LAB values and their final rendering, already at the level of graphic applications and PDF previews (Adobe Illustrator, CorelDRAW, Acrobat Reader).

Pantone officially states that the colours remain the same; in practice, however, there are visible differences between older and newer libraries in the visual display and print output of the same Pantone code.

9.5. Repeat production after a time interval

For repeat wrap production after several months or years (e.g. renewing a wrap after the season, producing a replacement part), absolutely identical colour accuracy with the original order cannot be guaranteed. Reasons:

  • updates of Pantone libraries (see point 9.4),
  • a change of printing technology, RIP or printer,
  • a change of ink set and material profiling,
  • a change of film supplier or production batch,
  • natural ageing of archived samples.

These differences are more pronounced for metallic, gold, silver and fluorescent shades than for standard process colours.

9.6. Reference sample

For the greatest possible colour-matching accuracy in repeat production, the Contractor recommends:

  • providing a physical archive sample from the original production for comparison,
  • ordering a print proof (preprint / colour sample) before wrap production begins — strongly recommended for full-coverage designs,
  • knowingly accepting the possibility of deviations by written confirmation before production begins.

Otherwise the Contractor cannot guarantee a match with the original production, and any deviations are not grounds for a complaint.

10. Client's responsibility for source materials

10.1. The Client bears full responsibility for the materials it provides to the Contractor (sponsor logos, photographs, texts).

10.2. The Client declares that the materials provided:

  • do not infringe the intellectual property rights of third parties (sponsor logos are used with their consent),
  • do not infringe personal, property or other rights of third parties,
  • are not in conflict with the legal regulations of the Czech Republic and the European Union,
  • do not promote criminal activity, movements aimed at suppressing human rights and freedoms, or other unlawful activities.

10.3. The Client is responsible for the technical quality of the materials supplied (resolution, vector formats, colour profile).

10.4. If the Contractor is shown to have infringed the rights of third parties as a result of using the Client's materials, the Client is obliged to compensate the Contractor for all damage incurred.

10.5. Third-party licences: If the proposal contains elements subject to third-party copyright (fonts, icons, photographs, illustrations from stock libraries), the Client is responsible for securing licences for commercial use.

11. Accuracy of data and approval process

11.1. The Client is obliged to carefully check all details (texts, names, sponsor names and logos, numbers, colours, race numbers) in the final proposal before approving it.

11.2. Final approval is given in writing — most often by e-mail or through a communication platform.

11.3. After the Client's written approval of the final version, the details can no longer be disputed.

11.4. Approval given by telephone, verbally or without written confirmation cannot be considered binding, and the Client cannot subsequently claim errors in details approved informally in this way.

12. Deadlines

12.1. Standard deadline for delivery of the first concept: 5–10 business days from confirmation of the order and delivery of complete materials.

12.2. Deadline for delivery of the final proposal after concept approval: 5–10 business days.

12.3. Deadline for delivery of a revision: 2–5 business days from receipt of the Client's comments.

12.4. Deadline for wrap production and installation: agreed individually based on complexity, film availability and the Contractor's workload.

12.5. Deadlines may be adjusted according to the Contractor's current workload. The Contractor always informs the Client of specific deadlines in advance.

12.6. Force majeure: The Contractor is not responsible for delays caused by force majeure (natural disasters, illness, supply outages of films and materials, technical faults, power outages, cyber attacks) and will inform the Client of this without delay.

12.7. Delay on the Client's side: If a delay arises from late delivery of materials, approval or payment by the Client, the Contractor is not in delay with delivery. The original deadlines are automatically extended by the length of the Client's delay.

13. Handover, shipping and format

13.1. Handover of data (service section A): Final data will be sent to the Client electronically from an e-mail address in the @hothess.cz domain, or via cloud storage (WeTransfer, Google Drive, mega.nz).

13.2. Handover of the produced wrap (service section B): The finished wrap is sent to the Client by a carrier (GLS, DPD, etc.) or handed over in person. Shipping is not included in the production price unless agreed otherwise.

13.3. Handover of the wrapped car (service section C): After installation is completed, the Client takes over the car in person. On taking over, the Client checks the execution of the wrap — any objections must be raised immediately, before leaving the premises.

14. Wrap warranty and complaints

14.1. Complaint period

The Client is entitled to claim obvious defects in the design, the wrap produced or the installation carried out within 14 days of their delivery / completion of installation.

14.2. Warranty on application carried out by the Contractor

For a wrap applied by the Contractor (service section C), the Contractor provides a warranty on application quality for 6 months under standard conditions of use of the car. The warranty covers:

  • film peeling due to incorrect application,
  • bubbles caused by poor application,
  • lamination separating.

The warranty DOES NOT COVER:

  • mechanical damage to the wrap (abrasion, scratches, a traffic accident, contact with an obstacle),
  • damage caused by improper washing of the car (high-pressure washer at close range, aggressive chemicals),
  • natural ageing of the film and its fading due to UV radiation,
  • damage caused by long-term parking in the sun or extreme temperatures,
  • wear caused by racing (stone chips, brake dust, exhaust fumes).
  • damage to the lamination caused when removing race numbers, sponsor logos or other films that are applied separately on top of the design during the season,
  • tearing or separation of the lamination as a result of unprofessional peeling of these separately applied elements from the surface of the wrap.

Important notice: Race numbers, sponsor logos and other changeable elements are applied separately on top of the finished wrap. When they are peeled off (typically between races or when sponsors change), the lamination on the underlying design may be damaged or torn, because films and lamination are not technologically developed for repeated application and removal of further elements from their surface.

Possible preventive solution: For race numbers, an extra-thick layer of lamination (a so-called protective base layer) can be applied at the place where they will later be positioned, which reduces the risk of damage to the underlying design when numbers are changed between races. This modification must be ordered in advance — please tell us when placing the order where the race numbers will be placed and how often they will be changed. For sponsor logos, a similar preventive modification is not normally possible because of their variable number, size and placement. In that case the Client bears the risk of damage to the wrap when changing logos, which is not covered by the warranty.

14.3. Film lifespan

The lifespan of a film depends on the type of film, conditions of use and maintenance. As a standard:

  • Calendered film (cut designs): 2–4 years
  • Cast film (printed designs): 5–7 years
  • Metallic and chrome films: 1–3 years (more sensitive to UV and weather)

These figures are indicative and based on film manufacturers' data. The actual lifespan may differ.

14.4. Complaint procedure

A complaint must be made in writing (by e-mail) to info@hothess.cz or grafik@hothess.cz with a detailed description of the defect, photographs and the order number.

The Contractor undertakes to settle the complaint within 30 days of receiving it. For more complex complaints, the period may be extended by agreement with the Client.

14.5. How a justified complaint is resolved

By agreement with the Client:

  • repair of the design or repeat production of the wrap,
  • supply of a new wrap part free of charge,
  • correction of the installation (re-application),
  • a reasonable discount on the price,
  • if none of the above is possible, a refund of part or all of the price.

14.6. What cannot be claimed

  • details that the Client approved in writing,
  • colour deviations caused by the technological process under Art. 9,
  • the absence of a chrome / metallic / fluorescent effect on a printed design (see 9.3),
  • colour differences in repeat production after a time interval (see 9.5),
  • defects of a wrap applied by an external person (see 8.3),
  • mechanical damage and wear under 14.2,
  • subjective feelings about the design after its approval,
  • errors caused by materials supplied by the Client.

15. Limitation of liability for damage

15.1. The maximum amount of compensation for damage by the Contractor towards the Client is limited to the invoiced price, excluding VAT, of the order in which the damage occurred.

15.2. The Contractor is not liable for the Client's lost profit, loss of sponsorship income, loss of a race result, loss of reputation or any other indirect or consequential damage.

15.3. These limitations do not apply in the case of intentional unlawful conduct or gross negligence on the part of the Contractor.

16. Confidentiality

16.1. The Contractor undertakes to maintain confidentiality regarding all Client information to which it gains access in the course of cooperation, in particular:

  • a new car design before its official release (launch, media presentation, photo shoot),
  • sponsor logos and partners before their official announcement,
  • strategic information about the season, planned races, driver and car transfers,
  • the team's internal materials (technical specifications, contacts, finances).

16.2. Exception: Use of the work in the Contractor's portfolio after its official release (see Art. 7.5).

17. Personal data protection (GDPR)

17.1. The Contractor processes the Client's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Act No. 110/2019 Coll.

17.2. Data processed: first name, surname, company / team, company ID, VAT ID, registered office, e-mail, telephone. Purpose: performance of contractual obligations, invoicing, communication.

17.3. Retention period: for the duration of the cooperation and subsequently for the period necessary to fulfil tax and accounting obligations (10 years).

17.4. The Client has the right of access to data, its rectification, erasure, restriction of processing or to object. Contact: info@hothess.cz.

18. Final provisions

18.1. These Terms are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code.

18.2. Jurisdiction: Any disputes will be resolved amicably. If no amicable resolution is reached, the court with subject-matter and territorial jurisdiction in the Czech Republic is competent to resolve the dispute.

18.3. Language version: In the event of a conflict between the language versions of these Terms, the Czech version prevails.

18.4. Entire-agreement clause: The Client confirms that they have had the opportunity to read these Terms in full, understand their content, agree with it, and that no clause is surprising or unusual for them.

18.5. The Contractor reserves the right to update these Terms at any time. The current version is always available on the website www.hothess.cz.
